This policy applies to the website administered by Academii (“Website”), located at https://www.academii.org. Additionally, these Terms govern your participation in all online courses, webinars, consulting and use of resources that are offered by Academii [“Program(s)”].

Your use of our Website or participation in our program constitutes your acceptance of, and agreement to, the following Terms. Academii reserves the right to modify, alter, amend or update these Terms, the content on the Website, and the Program. These Terms are subject to change without notice.

PROGRAM ELIGIBILITY

Academii’s Program is open to those seeking individual support for their life and career. The Program (vis-à-vis, any and all Academii products or services) is not intended to support other academic or business coaches who are looking to gain experience working with clients or who are interested in Academii's content, products, or strategies. If Academii becomes aware that you have joined for this reason or are using its content, Academii will immediately and permanently cancel any access to the Program for such individuals. In such cases, no refunds will be granted, regardless of the length of term originally purchased for Academii products and litigation against such person(s), school(s), or other organization(s) becomes a possibility.

PURCHASE POLICY FOR PROGRAMS

You may purchase enrollment in the Programs (goods and services) listed on this website. As a participant in Academii's Programs, you will receive access, but not necessarily downloading rights, to Academii's online materials (“Materials”) for the Program in which you’ve enrolled. Resources provided to patrons may include ongoing access to video modules, images, PDF handouts, PowerPoint presentations, audio resources, and other learning resources, but copy/paste and full content access is not promised or implied unless stated.

Academii Programs, Courses, Products, and Services

Access: Upon purchase of any given resource, course, or program, you will receive access (as defined below, if not expressly described on the product sales page).

Cost: The cost of each course, webinar, service, or resource is listed on its respective checkout page and is subject to change at any time due any number of factors.

Refunds: Because the majority of Academii's resources are digital in nature, and since digital downloads are not able to be fully protected nor returned, refunds are not available unless otherwise stated at the Point Of Sale (POS).

PROGRAM ACCESS

All Programs are intended and suitable for individuals over the age of majority and who have or are completing advanced degrees required for higher education administrative or teaching positions.

To access the Program, you must create an account on the Program’s technological platform. You are responsible for ensuring that your login information remains private. If Academii suspects that your login credentials have been shared with a third party, Academii reserves the right to revoke your access to the Program and to ban you from the Website.

If any product purchased refers to “Lifetime Access” to Program content, it is defined as follows: You will have access to the Program for as long as Academii hosts the Program, and it remains available on the Program portal. In the event Academii determines that the Program will no longer be available, we will provide you with notice by email and will seek to accommodate your possession of needed content whenever possible.

EMAIL UPDATES

By purchasing the course, you may be subscribed to our mailing list. Through these occasional emails, we provide product updates and other information.

LICENSE FOR USE OF MATERIALS

The Program and Materials were developed solely for your personal, and not group, use and may not be reproduced for publication or storing for the personal or commercial use of others without permission from Academii.

DISCLAIMER

You understand and agree that, due to the many variables involved in employment to third party organizations and any given individual's past or future behavior, personality, character, effort, and credentials, there is no way Academii can guarantee that you will experience the desired results in your life and career by using the information, techniques, and materials provided in the Program or our Materials. Academii assumes no responsibility for decisions, actions, or practices that you may implement based on this Program or Materials. Academii makes no guarantee about your future success based on your participation in the Program or your use of our Materials.

Company disclaims liability for incidental or consequential damages and assumes no responsibility or liability for any loss or damage suffered by any person as a result of use of the information provided in the Program or Materials.

Some Program content may include information from guest experts. All information is provided for informational purposes only and does not create any type of relationship between you and the guest expert.

Unless otherwise stated, Company owns the intellectual property and rights to all content and material in the Program and Materials. Subject to the license stated herein, all intellectual property rights are reserved.

Depending on the settings applied to any proprietary materials, you may be permitted to view, download (for caching purposes only), and print pages.  These are provided for your personal use and are subject to the restrictions set out below and elsewhere in these Terms.

Unless it is specifically and expressly made available for such purpose, the following uses are not permitted:

• Repurposing, republication, redistribution, sale, rental, lending, or sub-licensing of content from Program and Materials;
• Reproduction or duplication of any content on the Program or Materials for commercial or lending purposes;
• Modification of any content in the Program or Materials or any action taken to misrepresent the ownership of this material and intellectual content;

Unless otherwise noted, the design, content, and all components of the Program and Materials are copyrights owned by Academii or third parties and are protected by United States and international copyright laws and should not be reused or republished without express written permission from Academii or the holder(s) of other copyrights.

From time to time, Company will legally utilize copyrights owned by third parties. These copyrights are the respective property of their owners and Company makes no claim of ownership. If you believe any content on academii.org is yours and has been used without consent, we invite you to contact us in order to make a copyright claim. In the event any such verified content is found on this website, we will remove it as quickly as possible.

TRADEMARKS OR REPRESENTATIVE LOGOS

Academii's trademarks and/or representative logos may not be used in connection with any product or service that is not Academii's, or in any manner likely to cause confusion among consumers, including in any manner that disparages or discredits Academii or its owner.

From time to time, the Program and Materials will legally utilize trademarks owned by third parties. These trademarks are the respective property of their owners and Company makes no claim of ownership.

PROGRAM POLICIES

Academii is not obligated to do business with any individual or organization, and no person has an absolute right to the materials, strategies, resources, or programs owned by Academii.  Academii may choose to refund payments made by an organization or person(s) if it concludes it does not want to be associated with a given third party. In addition, any organization, person, or party having a relationship with Academii does not imply that either party agrees in whole or in part with each other's positions. Participation on this website and its programs is voluntary for all parties at all times.

The Programs may contain group elements, such as a private Program forum hosted on the Program platform, where content may be contributed or uploaded and you may interact with other Program participants. 

Academii is an educational services organization solely committed to helping scholars prepare for careers in higher education.  For this reason, this sole purpose and mission governs our program policies.  

Academii will not allow its organization, website, communities, or resources be exploited to advance other(s) agendas or causes. The following types of contributions will not be tolerated and will be deleted or lead to limited community access and, in some cases, persons participating in or advocating for these may be subject to removal from the Academii community:

• harassment, verbal abuse, or disrespect directed toward any Company or other Program participants;
• spam;
• promotion of other persons or organizations, or their products or services;
• sacrilegious, blasphemous, profane, harsh, or hate speech not considered in good taste among educated professionals;
• defamatory statements regarding Academii, its leadership, or any third party;
• references to illegal, immoral, or explicitly sexual acts; 
• promotion of activist forms of propaganda or information peddling, including but not limited to political parties and political parties' positions or representatives;
• open promotion of alternative lifestyles, including sex/gender advocacy, or the advancement of activist pedagogy supporting these on this website or in its communities; or
• any other contributions that may violate the legal rights of a third party.

As stated above, Academii is solely devoted to higher education career preparation and not activism.  Academii's sole discretion will be used to determine if a member is in violation of these policies. Any member in violation may suffer consequences for their online behavior. This may include no longer being able to access the Program, membership, community, or other forums. No refund will be due to a member who has been removed for a violation of this policy. Users may contact Academii if they believe action has been taken against them in error.

COMMUNICATION

If you send Academii an email, register for the Program, or provide your email, phone number, or contact information to Academii in any other way, you consent to receive communications from us electronically. You agree that all legal notices provided via electronic means from Academii satisfy any requirement for written notice. Academii does not sale or share its users' contact information.

THIRD PARTIES

The Program may contain links to third-party websites that are not governed or controlled by Academii. Academii assumes no control or liability over the content of any third-party sites. You expressly hold Academii harmless from any and all liability related to your use of a third-party website.

Prior to engaging in any events or commercial transactions with any third parties discovered through or linked in the Program, you must complete any necessary investigation or due diligence. If there is a dispute for any events or commercial transactions with a third party discovered through or linked in the Program or Materials, you expressly hold Academii harmless from any and all liability in any dispute.

NO WARRANTIES

The Programs provided on an “as is” and “as available” basis without any representations or warranties, express or implied.  Academii will continue to develop its program and website and no warranty regarding any course, product, service being or becoming 'complete' is being made or implied. Academii makes no representations or warranties in relation to the Program or Materials, or the information and materials provided therein.

Company makes no warranty the Program will meet your requirements; will be available uninterrupted; timely and free of viruses or bugs; or represents the full functionality, accuracy, and reliability of the Program. Academii is not responsible to you for the loss of any content or material uploaded or transmitted through the Program. The Program and Materials are written in English and makes no warranty regarding translation or interpretation of content in any language. 

ACADEMII HEREBY DISCLAIMS, ALL OTHER REPRESENTATIONS AND WARRANTIES, EXPRESS AND IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE. THE PROGRAM AND MATERIALS, ALONG WITH ANY ANCILLARY SERVICE, ARE BEING PROVIDED “AS IS,” WITHOUT ANY TYPE OF WARRANTY WHATSOEVER. IF YOU ARE A CALIFORNIA RESIDENT, BY ACCEPTING THIS AGREEMENT YOU ARE WAIVING CALIFORNIA CIVIL CODE SECTION 1542 WHICH STATES THAT “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HER SETTLEMENT WITH THE DEBTOR.”

LIMITATION OF LIABILITY

ACADEMII WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES OF ANY KIND, HOWEVER CAUSED, INCLUDING LOSS OF PROFITS, REVENUE, DATA OR USE, INCURRED BY YOU, WHETHER UNDER THEORY OF CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY, OR OTHERWISE, EVEN IF THE OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  THIS IS TRUE FOR ANY INDIVIDUAL OR GROUP REPRESENTATIVE WHO VISITS OR USES ACADEMII PRODUCTS AND SERVICES, WHETHER OR NOT THAT PERSON OR PERSONS HAVE READ AND UNDERSTOOD THIS LIMITATION OF LIABILITY.  BY VISITING THIS WEBSITE, YOU AGREE TO THE STIPULATONS OF LIABILITY OUTLINED HEREIN.

INDEMNITY

You agree to defend, indemnify and hold Academii, its members, employees, officers, directors, managers, and agents harmless from and against any and all losses, claims, suits, actions, liabilities, obligations, costs, and expenses (including reasonable attorneys’ fees and expenses) which Academii suffers as a result of third-party claims based on: (i) your negligence or intentional misconduct, (ii) your breach of any provision of the Terms of Use (including representation or warranty); (iii) materials prepared or provided by you including, but not limited to, any claims of infringement, or misappropriation of copyright, trademark, patent, trade secret, or other intellectual property or proprietary right, infringement of the rights of privacy or publicity, or defamation or libel; or (iv) death, personal injury, or property damage arising out of, or relating to, your obligations hereunder.

ARBITRATION

The Terms of Use will be governed and construed in accordance with the laws of the State of California. Any controversy or claim arising out of or relating to the Terms of Use, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The place of any such arbitration shall be in or near the current physical headquarters of Academii. The parties also agree that the AAA Optional Rules for Emergency Measures of Protection shall apply to the proceedings.

MISCELLANEOUS PROVISIONS

If any provision(s) of the Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall be severable and enforceable. If a provision is excessively broad, such a provision shall be limited or reduced in scope so as to be enforceable.

The Terms may not be assigned by you without Academii’s prior written consent; however, the Terms may be assigned by Company in its sole discretion.

The Terms are the final, complete, and exclusive agreement of the parties with respect to the Program offered by Academii.
